These Terms of Use ("Terms") govern your use of the TND Musicals, LLC Website (https://www.licensingmusicals.com). BY ACCESSING OR USING ANY PART OF THE WEBSITE, YOU ACCEPT AND AGREE TO BE BOUND BY THESE TERMS, and any additional terms and conditions that are referenced below or otherwise may apply to specific areas of the Website.

 

Website owner, what we offer, and binding of Terms.  Effective date 2/12/22.

This Website is owned and operated by TND Musicals, LLC. These Terms set forth the terms and conditions under which you may use our Website and the services which are offered by us. This Website offers visitors musical theatre productions that are available for licensing to perform by professional, educational or community theatres. By accessing or using this Website, you approve that you have read, understood, and agree to be bound by these Terms.

 

Who can use the LicenSINGMusicals.com Website

In order to use our Website and/or receive our services, you must be at least 18 years of age, or of the legal age of majority in your jurisdiction, and possess the legal authority, right and freedom to enter into these Terms as a binding agreement. You are not allowed to use this Website and/or receive services if doing so is prohibited in your country or under any law or regulation applicable to you. 

 

Right to change and modify Terms

If you do not agree to these Terms, please do not access or otherwise use this Website. We reserve the right, at our sole discretion, to change, modify, add, or remove portions of these Terms from time to time. Therefore, you should review these pages periodically. When we change the Terms in a material manner, we will notify you that material changes have been made to the Terms. Your continued use of the TND Musicals Website following the posting of changes to these terms will mean you accept those changes. Any rights not expressly granted herein are reserved to TND Musicals.

 

Terms offered to customers who are licensing TND Musicals

When purchasing a production license, you agree that: (i) you are responsible for reading the full contract before making a commitment to produce the show: (ii) you enter into a legally binding contract to purchase the license when you sign the contract and you complete the check-out payment process.

The license to perform a TND Musical is dependent on the nature of your theatre as stated on the Musicals page of the website.  Many theatres can purchase the production materials online through our production distributor, J.W. Pepper, which includes the license for one “run of show.” If a theatre does not meet the requirements for that license as stated, then a license needs to be requested at our Website on the Contact page by providing us your anticipated Dates and Times of performances, Price of Admission, and Theatre Seating Capacity.  We will email you a proposed contract for the licensing costs based on that information.  When you sign and return the contract with the licensing fee, the materials will be shipped to you (most materials will be delivered digitally).  We reserve the right to change our prices for production materials at any time, and to correct pricing errors that may inadvertently occur. 

 

User Accounts 

In order to use certain services on the Website, or to participate in certain activities on the Website, you may need to create an account on the Website and submit certain personal and/or demographic information.  TND Musicals information collection and use policies with respect to user information are set forth in the Website's Privacy Policy.  When creating your account, you agree to provide only true, accurate, current and complete information, and you accept all responsibility for all activities that occur under your account or password, if any.  You should not sell, transfer nor assign your account or allow others to use it, and you are responsible for maintaining the confidentiality of your user name and password.  TND Musicals reserves the right, in its sole discretion and without notice to you, to terminate your account and/or to restrict your access to all or part of the Website for any reason, including without limitation for extended periods of inactivity. You are responsible for all activity occurring when this site is accessed through your account, whether authorized by you or not. Therefore, if you create an account, be sure to protect the confidentiality of your account password. We are not liable for any loss or damage arising from your failure to protect your password or account information.

TND Musicals does not pre-screen or approve user profiles, and cannot guarantee that a user profile was actually created and is being operated by the individual or the entity that is the subject of the profile. TND Musicals is not responsible for the content of any user profile, or any transactions entered into or other actions taken on or in connection with any such profile, including how the owner of the profile collects, handles, uses and/or shares any personal information it may collect from users.  

 

Retention of right to change offering

We may, without prior notice, change the services; stop providing the services or any features of the services we offer; or create limits for the services. We may permanently or temporarily terminate or suspend access to the services without notice and liability for any reason, or for no reason.

Warranties & responsibility for services

Some services offered on this Website that are accessible upon the submission of a proper licensing application, including without limitation the granting of Performance Licenses and Production Resources, are limited to authorized users which are approved by TND Musicals. We reserve the right to deny any application for such licenses or requests for such purchases at our sole discretion. 

 

Proprietary Rights

TND Musicals owns, solely and exclusively, all rights, title and interest in and to the Website, all the content available on or through the Website (including, but not limited to, all audio, photographs, images, illustrations, renderings, drawings, graphics, logos, information, widgets, gadgets, applets, and other video or audiovisual materials), software, data and other materials available on or through the Website (collectively, the "Website Content"), the look and feel, design and organization of the Website, and the compilation of the Website Content thereon, including but not limited to any copyrights, trademark rights, patent rights and other intellectual property and proprietary rights therein.  Your use of the Website does not grant to you ownership or title of, in or to the Website, any Website Content or any other part of the Website.

 

Limited Licenses

Subject to the terms and conditions set forth in the Terms, TND Musicals grants you a non-exclusive, non-transferable, limited license to access, view, use and display the Website and Website Content on your computer or other Internet-capable device, provided that you comply fully with these Terms.  The Website and Website Content are solely for your personal, educational and theatrical use.  Any commercial use, distribution, publishing or exploitation of the Website or any Website Content is not allowed unless you have received the express prior written permission of TND Musicals.  You may not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works, exploit, or distribute in any manner or medium (including by email or other electronic means) any material from this Website unless explicitly authorized in these Terms or in writing by the owner of the materials

 

Ownership of intellectual property, copyrights and logos

All Website materials including, without limitation, software, images, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music and all Intellectual Property Rights related thereto, are the exclusive property of TND Musicals, LLC. Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works thereof.

Right to suspend or cancel user account

We may permanently or temporarily terminate or suspend your access to the service without notice and liability for any reason, including if in our sole determination you violate any provision of these Terms or any applicable law or regulations. You may discontinue use and request to cancel your account and/or any services at any time. 

 

Indemnification

You agree to indemnify and hold TND Musicals, LLC harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against them by any third party due to, or arising out of, or in connection with your use of the Website or any of the services offered on the Website.

 

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall TND Musicals, LLC, be liable for any indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation, damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or relating to the use of, or inability to use, the service.

 

To the maximum extent permitted by applicable law, TND Musicals, LLC, assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of our service; and (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein.

 

Promotional emails and content

You agree to receive from time to time promotional messages and materials from us, by mail, email or any other contact form you may provide us with (including your phone number for calls or text messages). If you don't want to receive such promotional materials or notices – please just notify us at any time. 

 

Preference of law and dispute resolution

These Terms, the rights and remedies provided hereunder, and any and all claims and disputes related hereto and/or to the services, shall be governed by, construed under and enforced in all respects solely and exclusively in accordance with the internal substantive laws of the Ohio in the United States, without respect to its conflict of laws principles. Any and all such claims and disputes shall be brought in, and you hereby consent to them being decided exclusively by a court of competent jurisdiction located in Chardon, Ohio.
